Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BuffSheets software, websites, and related services (the “Service”). By installing or using BuffSheets, you agree to these Terms. If you do not agree, do not use the Service.

1. Agreement

These Terms form a contract between you and BuffSheets Inc. (“BuffSheets”, “we”, “us”). Additional terms may apply to specific features; if they conflict with these Terms, the more specific terms control for that feature.

BuffSheets is an independent product and is not affiliated with Microsoft. Excel is a trademark of Microsoft Corporation.

2. What BuffSheets does

BuffSheets is a Windows desktop application that works with Excel workbooks. You describe work in natural language; BuffSheets plans discrete edits and applies them through a local engine. You can review actions with Accept/Reject (including undo) and inspect an audit trail of applied changes.

You may use on-device models (for example via Ollama) or hosted cloud models that you select. Features, platforms, and providers may change over time.

3. Accounts & eligibility

  • Hosted models and account features require a BuffSheets account.
  • You must be at least 16 years old and provide accurate registration information.
  • You are responsible for activity under your account and for keeping credentials secure.
  • Organizations that provide you access remain responsible for their users’ compliance.

4. Plans, allowances & billing

  • Hosted usage may include a free starter allowance and paid plans (for example Pro and Max) billed through Stripe. Current prices and plan descriptions appear on buffsheets.com and in your account.
  • Paid subscriptions renew monthly until canceled. You can manage billing from your account portal.
  • Monthly hosted allowances reset according to your billing cycle (not mid-cycle plan changes that only produce prorations). On-demand or overage features, if offered, are described in-product.
  • Fees are generally non-refundable except where required by law or where we state otherwise. Taxes may apply.
  • On-device models are free of BuffSheets hosted metering; you supply the local compute and any third-party model software.
  • We may change prices or plan limits with reasonable notice where required.

5. Acceptable use

You agree not to:

  • Use the Service in violation of law or others’ rights (including data you lack rights to process).
  • Attempt to disrupt, reverse-engineer, or circumvent security, metering, or licensing of the Service.
  • Abuse multi-account or automation schemes to evade plan limits.
  • Upload malware or use the Service to distribute harmful content.

Hosted model use is also subject to the acceptable-use policies of the model provider you select.

6. Your data

Your use of personal data is described in our Privacy Policy, which is incorporated by reference.

You retain ownership of your workbook content. You grant us a limited license to process that content solely to provide the Service (for example to send selected context to a hosted model you chose) and, unless you opt out of request logging, to improve our products.

7. AI output disclaimer

AI output may be incorrect, incomplete, biased, or unsuitable for your purpose. BuffSheets is a productivity tool — not a financial, legal, accounting, tax, or investment advisor. You are solely responsible for reviewing every change before relying on it. Keep backups of important workbooks.

Changes may apply as discrete actions while a plan runs; use Accept/Reject and undo carefully. We are not responsible for workbook damage resulting from applied actions or failed undos when the underlying file was modified outside the app.

8. Warranties & limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUFFSHEETS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (US$50).

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted.

9. Termination

You may stop using BuffSheets and uninstall the software at any time. You may cancel paid subscriptions through the billing portal; access continues through the end of the paid period unless otherwise stated.

We may suspend or terminate access for breach of these Terms, abuse, non-payment, legal risk, or to protect the Service. Sections that by nature should survive (including disclaimers, liability limits, and governing law) will survive termination.

10. Changes, governing law & contact

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires a different process.

These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law rules. Courts located in Minnesota will have exclusive jurisdiction for disputes that cannot be resolved informally, except where prohibited by law.
